Upon acceptance of this Application by ICS. (thereafter called ICS.) the undersigned applicant for a distributorship (hereinafter called Distributor) agrees:

Distributor will operate his (her) own business, will buy products and services for cash, will promote their sale and will abide by all ICS policies and rules, as issued from time to time, including policies set forth in the ICS. Memoranda and publications.

Distributor is an independent contractor (for Federal Tax purposes, and otherwise), and is not an employee, legal representative or agent of ICS or of any ICS distributor.

ICS, insofar as it is reasonably possible, will sell for cash to Distributor ICS products and services in whatever quantity Distributor may require.

For a period of three (3) years after termination of this agreement Distribution will hold in confidence any trade secrets, formulas, sales and distribution systems, business information, and literature which Distributor acquired during the term of this agreement and will not use directly or indirectly such items. For such period Distributor also agrees not to enter or participate in a competing business or business activity.

If the Distributor fails to comply with the terms of this agreement, ICS may revoke the Distributorship.

The distributor may not assign this agreement without the written consent of ICS

I understand that the signing of this agreement a distributor kit is all that is needed to become a distributor. If within 90 days I decide not to continue as a distributor, I shall submit my written, notarized resignation to ICS.

The agreement is binding upon and inures to the benefit of the parties, their heirs and successors in interest. If any provision of this agreement is found to be unenforceable or invalid, the validity o the remaining provisions shall not be affected.
